Since 2002, counseling managers, investors and companies on the legal issues generated by their business dealings and how to structure business relationships to ensure the intent is fully and lawfully documented … as well as defining their legal rights and obligations while managing risk. The firm has provided counsel to developers and lenders on large-scale commercial real estate projects that rely on mixed-financing to close (e.g., tax credit investments, construction loans, permeant debt, federal-state-municipal subsidies and bonds).
As veteran transactional counsel, the firm has hands-on experience: drafting, reviewing and negotiating project documents; business formations and dissolutions; developer service agreements; structuring equity partnerships; clearing and certifying title; resolving zoning and environmental compliance issues that could create impediments to completing the project; managing due diligence; and supervising escrow for construction draws.
